Terms & Conditions Revoliq Pay

This Agreement outlines the rights, responsibilities, and limitations between you and Revoliq Pay, including service use, account security, fees, legal obligations, and data protection, ensuring transparency and compliance throughout.

1. Introduction

These Terms and Conditions (“Agreement”) govern the contractual relationship between you (“Customer”, “you”, or “your”) and Revoliq Pay (“Revoliq”, “we”, “us”, or “our”), including any annexes, the Privacy Policy, and Terms of Use.
Our Pricing List is maintained separately and forms an integral part of this Agreement. Your continued use of our Services signifies your acceptance of this Agreement as updated on our website or mobile application. If you do not accept these terms, you must not use our Services.

2. Definitions

Revoliq Pay Services: Digital financial services including, but not limited to, virtual IBAN-based payments and settlements.
  • Customer Account: Your account with us, used to manage services.
  • Payment Order: Instruction from you to initiate a transfer.
  • Confidential Information: Non-public info, including trade secrets and customer data.
  • GDPR: General Data Protection Regulation 2016/679.
  • RYVYL EU EAD: Third-party provider issuing VIBANs for Revoliq Pay users.
(All other definitions remain the same as in the original content and are adapted for Revoliq branding.)

  • RYVYL EU EAD: Third-party provider issuing VIBANs for Revoliq Pay users.

4. General Provisions

  • You agree to this Agreement upon account creation.
  • Headings are for convenience and have no legal effect.
  • Terms like “including” are illustrative, not exhaustive.

5. Account Registration

  • Accurate and updated information must be submitted during registration.
  • Revoliq reserves the right to audit compliance.
  • AML/KYC procedures apply to all accounts.

6. Use of Services

  • Services begin after successful verification.
  • VIBANs are issued by RYVYL EU EAD.
  • Third-party onboarding is not guaranteed.

7. Material Changes Notification

  • Changes to ownership, address, or business model must be reported.
  • By accepting these Terms, you consent to RYVYL EU EAD handling incoming payments.
  • Transactions via VIBANs are subject to RYVYL EU EAD’s terms.

8. Account Security

9. Payment Orders

  • Once submitted, Payment Orders cannot be revoked.
  • We may suspend processing for risk or compliance reasons.

10. Fees and Taxes

  • See the Pricing List for applicable fees.
  • All fees are exclusive of VAT.
  • You are responsible for any applicable taxes.

11. Prohibited Use

You must not:
  • Violate laws
  • Transmit malware
  • Engage in fraud or misuse our systems

12. Suspension of Services

We may suspend or restrict your account:
  • Due to compliance issues
  • Upon regulatory request
  • In response to security risks

13. Intellectual Property

  • You may not use our branding without permission.
  • We may display your logo unless you opt out in writing.

14. Confidentiality & Data Protection

  • Both parties must protect Confidential Information.
  • We act as a data processor or controller depending on context.
  • A Data Processing Addendum (DPA) forms part of this Agreement.

15. Agreement Changes

  • We may amend this Agreement with 14 days’ notice.
  • You may terminate the Agreement if you object to changes.
  • Immediate changes may apply in urgent legal/security situations.

16. Limitation of Liability

  • We are not liable for indirect or consequential losses.
  • Force Majeure applies.
  • You agree to indemnify us in case of your breach.

17. Termination & Account Closure

  • You may close your account any time.
  • We may suspend or terminate for breach or legal reasons.
  • Outstanding obligations remain enforceable after termination.

18. Legal Clauses

  • Governing Law: This Agreement is governed by the laws of Georgia.
  • Disputes: Will be resolved via mediation or the courts of Georgia.
  • Assignment: You may not assign this Agreement without our consent.
  • Non-Solicitation: Applies for six months post-termination.
  • Entire Agreement: This document supersedes all previous agreements.

Annex I – Prohibited Business Activities

You may not use our Services for:
  • Counterfeit goods
  • Illegal drugs or steroids
  • Weapons or ammunition
  • Pornographic content
  • Pyramid schemes or HYIPs
  • Unlicensed gambling
  • Unregulated Forex or crypto exchanges
  • Shell banks
  • File sharing/torrent services
  • And any other activity deemed high risk or non-compliant by us or our partners

Annex II – Data Processing Addendum (DPA)

1. Revoliq may act as data controller or processor.
2. We process data for:
  • Payment execution
  • Risk/compliance checks
  • KYC/AML obligations
3. Personal data may include:
  • ID and contact details
  • IBANs and transaction history
  • Beneficiary and customer info
4. Retention is governed by applicable laws.
5. Third-party processors may be used under strict agreements.
